IMPORTANT - Please read these Terms and Conditions carefully before using the Candle Platform.

These Terms and Conditions, together with our Policies ("Terms") are a legally binding agreement between Candle Media and affiliated companies (together "Candle", "us", "we", or "our") and you, the person that accesses or uses the Services ("you" or "your").

These Terms govern your use of the Candle Platform and any related services provided via our website and applications (the "Service") operated by us.

By accessing and using the Services, you agree to abide by these Terms and to comply with all applicable Laws. If you do not agree with these Terms, you are prohibited from using or accessing the Services.

1. What is the Candle Platform?

Our Services allow:

  • advertisers, media buyers, agencies on behalf of their clients, or individual users ("Advertisers") to plan and search for outdoor advertising inventory, build campaigns, upload creative assets, make payments, execute media purchases and monitor their campaign performance;
  • outdoor advertising owners, billboard operators, media owners or third parties that have rights ("Media Owners") to list, market and sell their outdoor advertising inventory online.

The Candle Platform acts as a technology partner for Advertisers and Media Owners, enabling the automated sales of outdoor advertising inventory and facilitating transactions between both parties (as well as provides other functionality, including but not limited to, a payment and collection mechanism).

In addition to the above, we may offer additional Services to Advertisers and Media Owners directly or via third parties that may be subject to additional costs and terms.

2. What do I need to do to Sign Up to the Candle Platform?

In addition to agreeing to these Terms and our Policies, you will also need to provide us with certain requested information including your business address and corporate identifier before we provide you with Services.

Your access to and use of the Services (including the Candle Platform) is conditional on your acceptance of and compliance with the Terms and our Policies.

If you disagree with any part of these Terms or our Policies then you may not access or use the Services (including the Candle Platform).

3. When do the Services start?

These Terms start on the date that you agree to them as part of the signing up process. If you are an existing user of our Services, these Terms start from the date you next interact with the Services.

However, your access to and use of the Services will only commence once you have satisfied any pre-conditions in these Terms. We will notify you of any pre-conditions when you have completed the signing up process.

4. When do the Services end?

If you decide that you no longer wish to receive the Services from us, you can elect to terminate these Terms at any time and at no cost to you by providing us with 7 business days notice via email to support@candle.media.

We may suspend or terminate your right to use the Services (including the Candle Platform) and terminate these Terms immediately upon written notice to you for any breach of these Terms by you.

5. What will happen if these Terms are terminated?

On termination of these Terms for any reason:

  • all rights granted to you under these Terms shall cease;
  • you must cease all activities authorized by these Terms;
  • you will lose all rights to access the Services; and
  • you agree that we may cease providing you with access to the Services.

Upon termination of these Terms, you will be entitled (following a written request to us) to your Customer Data that has been input by you into the Candle Platform. Within a reasonable time of any such written request we will export such Customer Data for you.

6. Your Account

(a) You may need a Candle Account ("Account") in order to use our Services. You may create your own Account, or your Account may be assigned to you by an administrator, such as your employer.

(b) Agency Account holders have the ability to create Organizations within their Account. This is for the purpose of organizing and sorting campaigns within the Account. The User is responsible for any actions performed by or through your Account.

(c) We reserve the right to reject your User registration by disabling your Account. Even after acceptance, we may terminate or suspend your account and ability to use the Services at our sole discretion, with or without cause and without prior notice to you.

(d) To protect your Account, keep your password confidential. If you learn of any unauthorized use of your password or Account, please contact us via email support@candle.media

(e) Your account will be deemed inactive and closed or archived if there is no activity on your account for 12 months. In the event your account is closed or terminated it will be marked inactive in our systems, but we cannot delete your transaction history.

7. Campaign Creation and Management

7.1 Campaign Creation: As an Advertiser, you can create campaigns through our platform by selecting outdoor advertising inventory, setting targeting parameters, uploading creative assets, and defining campaign objectives.

7.2 Creative Assets: You are responsible for ensuring all creative assets comply with applicable advertising standards, laws, and regulations. We reserve the right to reject or remove content that violates our advertising policies.

7.3 Campaign Performance: We provide analytics and reporting tools to help you track campaign performance. However, we do not guarantee specific performance metrics or outcomes.

7.4 Campaign Modifications: You may modify or cancel campaigns subject to the terms agreed with Media Owners and any applicable cancellation policies.

8. Payments and Billing

8.1 Payment Terms: All payments for advertising services are due according to the payment terms specified in your campaign agreement. We may require payment in advance for certain services.

8.2 Pricing: Our pricing is based on various factors including inventory type, location, duration, and targeting parameters. All prices are subject to change with reasonable notice.

8.3 Refunds: Refund policies are subject to the terms agreed with Media Owners and our refund policy, which may be updated from time to time.

8.4 Taxes: You are responsible for all applicable taxes, duties, and fees related to your use of our services.

9. Intellectual Property Rights

9.1 Our Rights: The Candle Platform, including all content, features, and functionality, is owned by Candle and is protected by international copyright, trademark, and other intellectual property laws.

9.2 Your Content: You retain ownership of all creative assets and content you upload to our platform. By using our services, you grant us a license to use, display, and distribute your content as necessary to provide our services.

9.3 Third-Party Content: Our platform may contain content from third parties, including Media Owners. Such content is protected by applicable intellectual property laws.

10. Privacy and Data Protection

We are committed to protecting your privacy and personal information. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by law, Candle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of our services.

Our total liability to you for any claims arising out of or relating to these Terms or our services shall not exceed the amount you paid us for the services in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Candle and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Candle is incorporated, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration association.

14. Changes to Terms

We reserve the right to review and amend any of these Terms at our sole discretion. Upon doing so, we will update this page and notify you of any material changes.

Any changes to these Terms will take effect immediately from the date of publication. Your continued use of our services after such changes constitutes acceptance of the updated Terms.

Definitions

Advertiser means any person or entity that uses our Services to purchase outdoor advertising inventory, including media buyers, agencies, and individual users.

Campaign means a coordinated series of outdoor advertising placements created through our Platform with specific objectives, targeting, and creative assets.

Creative Assets means all content, materials, artwork, images, videos, text, and other creative elements uploaded to our Platform for use in advertising campaigns.

Customer Data means all data, information, and content that you input into our Platform, including but not limited to campaign data, creative assets, and user information.

Impression means each viewer that is expected to be reached by the relevant advertising display on outdoor screens.

Intellectual Property Rights means all industrial and intellectual property rights of any kind including but not limited to copyright, trademark, service mark, design, patent, trade secret, and all rights or forms of protection of a similar nature.

Law means all applicable laws, rules, regulations, and legal requirements in any jurisdiction.

Media Owner means outdoor advertising owners, billboard operators, or third parties that have rights to list, market and sell their outdoor advertising inventory through our Platform.

Outdoor Advertising Inventory refers to outdoor screens such as billboards, street signs, shopping centre displays, transit stations, and other digital screens that can be used for advertising purposes.

Organization means an entity within the Candle Platform under which all Users perform their transactions. Organizations are created upon sign-up for every User and are associated with every advertising campaign delivered by our Services.

Personal Information means any information that can be used to identify an individual, including but not limited to name, email address, phone number, and business information.

Platform means the Candle technology platform, including our website, applications, and all related services and functionality.

Play means a single display of advertising content on an outdoor screen for a specified duration.

Services means all services provided by Candle through our Platform, including but not limited to campaign creation, inventory management, payment processing, and analytics.

Transaction means the purchase and sale of advertising inventory through our Platform.

User means any person or entity that accesses or uses our Services, including Advertisers and Media Owners.

These Terms and Conditions were last updated on September 2025. By using the Candle Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
